END-USER LICENSE AGREEMENT

End-User License Agreement (EULA) for Retail App with Rewards Points

Effective Date: April, 2025

This End-User License Agreement (“Agreement”) is a legal agreement between you (“User” or “you”) and Culture Cannabis Club (“Company,” “we,” or “us”) governing your use of the Culture Rewards (“App”). By downloading, installing, accessing, or using the App, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not download, install, or use the App.

1. Eligibility and Medical Verification

1.1 General Eligibility

The App is intended for use only by individuals who meet the legal requirements for accessing cannabis-related products and services. In general, you must be at least 21 years old to use the App.

1.2 Users Aged 18–21

Notwithstanding the general eligibility requirement, if you are between the ages of 18 and 21, you may use the App solely for accessing cannabis-related services provided you submit a valid medicinal cannabis recommendation from a licensed physician.

Verification: As a condition of accessing cannabis-related content, products, or rewards, users aged 18–21 are required to provide both government-issued identification and valid medical documentation as part of our verification process.

Representation: By using the App, you represent and warrant that you meet the eligibility requirements under applicable law, including providing any required documentation if you are aged 18–21.

2. License Grant

Subject to your compliance with the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, and revocable license to download, install, and use the App solely for your personal, non-commercial purposes.

3. Rewards Points

Points Program: The App may offer rewards points (“Points”) for purchases made through the App.

Non-Transferability: Points are non-transferable and have no cash value.

Redemption: Points can only be redeemed in accordance with the rules established by the Company.

Modification: The Company reserves the right to modify, suspend, or terminate the Points program at any time without prior notice.

4. User Account

Account Creation: In order to earn and redeem Points, you may be required to create a user account.

Accuracy of Information: You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Verification for Cannabis-Related Use: In connection with Section 1, if you are aged 18–21 and wish to access cannabis-related functionalities, your account will be subject to additional verification requirements as described herein.

5. Intellectual Property

The App and all its content, features, and functionality—including but not limited to trademarks, logos, text, images, graphics, software, and code—are the property of Culture Cannabis Club and are protected by copyright, trademark, and other intellectual property laws. You agree not to modify, reverse engineer, decompile, disassemble, or create derivative works based on the App.

6. Restrictions

You agree not to engage in any of the following activities:

(a) Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the App.

(b) Use the App for any unlawful purpose or in violation of applicable laws or regulations.

(c) Remove, alter, or obscure any copyright, trademark, or proprietary notices on or in the App.

(d) Use the App to transmit viruses, worms, Trojan horses, or any items of a destructive nature.

(e) Attempt to gain unauthorized access to any portion of the App or related systems or networks.

(f) Interfere with or disrupt the operation of the App, its servers, or networks connected to the App.

7. Privacy

Your use of the App is subject to our Privacy Policy, which is incorporated herein by reference. By using the App, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

8. Termination

Termination Rights: This Agreement is effective until terminated. The Company may terminate this Agreement at any time without notice if you breach any provision of this Agreement.

Obligations on Termination: Upon termination, you must immediately cease all use of the App and destroy all copies of the App in your possession or control.

9. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

10. Limitation of Liability

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE COMPANY’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR THE APP.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of California, without regard to its conflict of law principles.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and the Company regarding your use of the App and supersedes all prior or contemporaneous understandings, whether written or oral.

13. Amendments

The Company reserves the right to modify, amend, or change any terms of this Agreement at any time without prior notice. Your continued use of the App following any modifications constitutes your acceptance of the revised Agreement.
